Acceptance of Terms
By accessing and using QuickRecon ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
Use License
Grant of License
QuickRecon grants you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial business purposes. This license is subject to these Terms of Service and does not include the right to: (a) sell, resell, or rent the Service; (b) modify or copy the materials; (c) remove any copyright or proprietary notations; or (d) transfer the Service to another person or "mirror" the materials on any other server.
Restrictions
You may not: (1) reverse engineer, decompile, or disassemble the Service; (2) access the Service for competitive purposes; (3) use the Service to develop competing products; (4) remove or alter any proprietary notices or labels; or (5) use the Service in any unlawful manner.
Account Responsibility
Account Creation
You are responsible for maintaining the confidentiality of your account credentials and password. You agree to be fully responsible and liable for all activity that occurs under your account. You must immediately notify us of any unauthorized use of your account.
Accurate Information
You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate and complete. You are solely responsible for maintaining the accuracy of your account information.
Account Security
You are responsible for implementing sufficient technical security measures to protect your account. We recommend using strong passwords and enabling two-factor authentication.
User Content and Data
Ownership
You retain full ownership and rights to all documents, invoices, and data you upload to the Service. By uploading content, you grant QuickRecon a non-exclusive, worldwide, royalty-free license to use your content solely for providing and improving the Service.
Permitted Use
You warrant that all content you upload complies with applicable laws and does not infringe on any third-party intellectual property rights. You are solely liable for any breach of these warranties.
Data Processing
By uploading financial documents, you authorize QuickRecon to process, analyze, and store this data using our AI reconciliation engine. All data is processed securely and encrypted at rest.
Data Retention
We retain your uploaded documents and processing results for the duration of your active subscription plus 90 days for recovery purposes. After account deletion, financial data is retained for 7 years per legal requirements, but your access is terminated.
Billing and Payment Terms
Subscription Plans
QuickRecon offers various subscription plans with different pricing. Billing occurs automatically on the billing date each month or year, depending on your selected plan. You are responsible for ensuring your payment method remains valid.
Payment Methods
All payments are processed through Stripe and are subject to Stripe's Payment Services Agreement. By providing payment information, you authorize us to charge your account.
Failed Payments
If a payment fails, we will attempt to process it again. If payment fails after multiple attempts, we may suspend or terminate your account. Repeated failed payments may result in account closure.
Refund Policy
We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied within 30 days of your initial subscription, we will refund your payment in full. After 30 days, refunds are available only for billing errors at our discretion.
Price Changes
We may change our subscription prices at any time. We will notify you of price changes at least 30 days in advance. If you do not agree to the new pricing, you may cancel your subscription.
Cancellation
You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing cycle. No prorated refunds are issued for cancellations mid-cycle.
Disclaimers and Warranties
As-Is Service
QuickRecon is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Service, including any implied warranties of merchantability or fitness for a particular purpose.
Accuracy Not Guaranteed
While our AI achieves 90% matching accuracy on average, we do not guarantee 100% accuracy. The Service is designed to assist in reconciliation processes but should not be relied upon as the sole method of financial reconciliation. All results should be reviewed by qualified personnel.
Service Interruption
We do not warrant that the Service will be uninterrupted or error-free. QuickRecon may be unavailable for maintenance, updates, or due to unforeseen circumstances.
Third-Party Integrations
If the Service integrates with third-party services (such as QuickBooks, banking APIs), we are not responsible for any issues, downtime, or changes made by third-party providers.
Limitation of Liability
Cap on Damages
In no event shall QuickRecon be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use or inability to use the Service, even if we have been advised of the possibility of such damages.
Maximum Liability
Our total liability to you for any claims arising from the Service shall not exceed the amount you have paid to QuickRecon in the 12 months preceding the claim.
No Liability for Content
We are not liable for the accuracy, completeness, or reliability of any content, information, or data processed by the Service.
Indemnification
You agree to indemnify, defend, and hold harmless QuickRecon and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorney's fees) arising from: • Your violation of these Terms of Service • Your use of the Service in violation of applicable laws • Your infringement of any intellectual property rights • Any claims related to content you upload to the Service
Prohibited Conduct
You agree not to: • Use the Service for any unlawful purpose or in violation of applicable laws • Access or attempt to access unauthorized areas of the Service • Transmit any malware, viruses, or harmful code • Engage in unauthorized data collection, hacking, or reverse engineering • Spam, phish, or engage in any fraudulent activity • Harass, abuse, or threaten other users or QuickRecon personnel • Attempt to disrupt the normal operation of the Service • Use the Service to process or store illegal content
Intellectual Property Rights
QuickRecon, its logo, and all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are the exclusive property of QuickRecon or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, transmit, modify, or create derivative works without our express written consent.
Termination
Termination by You
You may terminate your account and these Terms at any time by canceling your subscription through your account settings.
Termination by QuickRecon
We may terminate or suspend your account and access to the Service immediately if: (1) you violate these Terms; (2) you engage in fraudulent or illegal activity; (3) you breach our security; or (4) continued provision of the Service would expose us to legal liability.
Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data, but will retain certain information as required by law or for legitimate business purposes.
Modifications to Terms
We may modify these Terms at any time by posting updated terms on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically for updates. Material changes will be communicated via email with at least 30 days' notice.
Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflicts of law principles. You agree that any legal action or proceeding shall be exclusively brought in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction and venue of these courts.
